Needs For Any Ccorporation In Nevada

Follow the rules to do business in Nevada.


Make sure your C corporation meets all of the Nevada requirements or you won't be able to participate in benefits specific to the state, like no corporate or personal income tax. Ensure your initial paperwork is complete. Each Nevada corporation will also need a resident agent. Shortly after your Nevada corporation is formed, you will need to submit a list of officers. There are also annual requirements to keep it running.


Formation Documents


Choosing and registering your company name should be among your first steps of forming a Nevada C corporation. Next, submit your articles of incorporation. They need to include information about the incorporators, your corporate purposes and director information. They will also have to address your company stock information outlining the number and class of shares issued. Consult your legal adviser to ensure that you are completing the formation paperwork completely.


Resident Agent


Nevada statutes require your C corporation to have a resident agent. Your resident agent will be treated as the primary contact for correspondence with the Nevada Secretary of State. In all cases, your resident agent must be located in Nevada. The resident agent will be responsible for accepting service of legal processes, in case of lawsuits. She will also be expected to keep your pertinent corporate documents like articles of incorporation, stock ledgers and bylaws.


Initial List of Officers


Within 30 days of incorporation, your company will need to provide the initial list of its officers. The officers must be natural persons, but an individual can hold multiple offices such as president and secretary simultaneously. These officers are often listed in the bylaws and may be able to appoint other officers. This initial list must be submitted to the Nevada Secretary of State with the appropriate filing fee.


Annual Filings and Reports


Once your Nevada C corporation is operational, there are also annual requirements to consider. The annual report consists of a list of the current officers and directors. It must be submitted every year by the end of your anniversary month. So, if you started your company on March 15th, you will have to file the annual reports no later than March 31st of the following year. Additionally, your Nevada State business license will have to be renewed.
